Terms of service

These Terms of Service form a binding agreement between you or the organisation you represent (“Subscriber”) and PROCUX Teknoloji Anonim Şirketi, trading as Paycux (“Paycux”, “we”, “us”). By creating an account, purchasing a plan, or continuing to use the Service, Subscriber accepts these Terms. If an executed order form conflicts with these Terms, the order form controls.

1. Company and service

Paycux is a billing and entitlement control plane for software businesses. It lets a Subscriber connect a customer-owned Stripe or Paddle account, define products, plans, entitlements and usage limits, and operate hosted billing journeys and signed provider webhooks. Features marked planned, preview or beta are not part of the purchased Service unless an order form says otherwise.

2. Eligibility, accounts and authority

The person accepting these Terms confirms that they are at least the age of majority, have legal capacity, and have authority to bind Subscriber. Subscriber must provide accurate information, keep credentials confidential, restrict access to authorised users, and promptly notify [email protected] of suspected compromise. Subscriber is responsible for activity performed through its accounts and integrations.

3. Licence and ownership

Subject to these Terms and payment of applicable fees, Paycux grants Subscriber a limited, non-exclusive, non-transferable right to access and use the Service for its internal business purposes during the subscription term. Paycux and its licensors retain all rights in the Service, software, documentation, branding and related intellectual property. Subscriber retains ownership of its applications and data and grants Paycux only the rights needed to host, process and transmit that data to provide and secure the Service.

4. Acceptable use

Subscriber must not, and must not permit anyone else to:

  • Use the Service unlawfully, fraudulently, for spam, or to facilitate prohibited or abusive transactions.
  • Upload or process content that infringes intellectual-property, privacy or other third-party rights.
  • Introduce malware, probe or scan systems without written permission, evade security controls, scrape protected interfaces, or interfere with availability.
  • Reverse engineer, resell, sublicense or redistribute the Service except where the law expressly permits it or an order form authorises it.
  • Circumvent plan, usage, access or technical limits, or misrepresent identity, authority or the origin of data.

5. Subscriptions, billing and taxes

The selected plan, price, currency and billing frequency are shown before checkout. Paid plans renew automatically monthly or annually until cancelled. Paddle is the merchant of record for Paycux subscriptions and handles payment collection, tax, invoices and payment details under the Paddle Buyer Terms. Subscriber authorises Paddle to charge the selected payment method on each renewal date.

Subscriber may cancel from the Paycux billing page or the Paddle customer portal before renewal. Cancellation takes effect at the end of the current paid period unless mandatory law requires otherwise. Refund rights and request instructions are in the Refund and cancellation policy.

6. Availability and changes

Paycux uses commercially reasonable efforts to operate the Service securely and reliably, but does not guarantee uninterrupted, error-free or loss-free performance. Maintenance, provider outages, internet failures and events outside reasonable control may affect availability. We may change the Service where reasonably necessary for security, legal, provider or product reasons and will give reasonable notice of material adverse changes where practicable.

7. Suspension and termination

Paycux may restrict, suspend or terminate access for a material breach, non-payment, security or fraud risk, unlawful conduct, or repeated or serious policy violations. Where practicable, we will provide notice and an opportunity to cure. Subscriber may stop using the Service and cancel its subscription at any time. On termination, access ends and data is handled under the Privacy Policy and any applicable DPA; legally required billing and audit records may be retained.

8. Confidentiality and data protection

Each party will protect the other party's non-public confidential information and use it only for the agreement. Paycux processes personal data as described in the Privacy Policy and, where applicable, the Data Processing Addendum. Subscriber is responsible for having a lawful basis and necessary permissions for data it submits.

9. Disclaimers and liability

To the fullest extent permitted by law, the Service is provided “as is” and implied warranties are excluded. Neither party is liable for indirect, special or consequential loss. Each party's aggregate liability arising from the Service is limited to fees paid or payable for the Service during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited, including fraud, wilful misconduct, death or personal injury caused by negligence.

10. General

Governing law and disputes

These Terms are governed by the laws of the Republic of Türkiye. The courts and execution offices of Balıkesir, Türkiye have jurisdiction, without removing any mandatory consumer rights that apply in Subscriber's country.

Assignment and force majeure

Subscriber may not assign these Terms without written consent. Paycux may assign them as part of a merger, acquisition or reorganisation. Neither party is responsible for delay caused by events beyond its reasonable control, except payment obligations.
